1. The service
Coletly is a Shopify app that creates courier labels with the couriers the merchant connects, issues invoices in the connected invoicing tool, shows tracking and return pages and reconciles cash-on-delivery statements. Coletly is not a courier, not an invoicing tool and does not handle payments; the contracts with those providers belong to the merchant.
2. Account and access
Installation happens from the Shopify App Store by a user with store administration rights. The merchant is responsible for the credentials entered and for complying with their providers' terms.
3. Plans, payment and trial
Plans and prices are those shown in the app and on the Pricing page. The subscription is billed by Shopify, in USD, through Shopify Billing. Paid plans include a 7-day trial, once per store. The monthly label limit also applies to yearly plans. At the limit, label generation stops until the next period starts or a larger plan is chosen; no overage fees are charged. Downgrades apply under Shopify's rules, and accounts above the new limit are disabled, the oldest staying active.
4. Merchant obligations
The merchant ensures a legal basis for processing their customers' data, accurate order information and use of courier and invoicing services under their own contracts. Fiscal documents issued through Coletly are the merchant's documents.
5. Availability and limits
Coletly depends on Shopify, the couriers and the invoicing tools. When a provider does not answer or answers with an error, the app shows the provider's message and offers a retry; when the answer is uncertain, the app asks for a manual check before repeating a fiscal operation. No specific availability is guaranteed in this draft; a status page will be published at launch.
6. Liability
To the extent permitted by law, Coletly's liability for direct damages is limited to the subscription amounts paid by the merchant in the last 12 months. Coletly is not liable for delays, losses or errors of couriers, invoicing tools or Shopify, nor for incorrect order data.
7. Personal data
Data processing is described in the Privacy policy, which forms part of these terms. For store customers' data, Coletly acts as the merchant's processor.
8. Termination
The merchant may uninstall the app from Shopify at any time; the subscription ends under Shopify Billing's rules. Coletly may suspend access in case of abuse or unlawful use, with prior notice where possible. After uninstall, data is deleted as described in the Privacy policy.
9. Governing law
These terms are governed by Romanian law. Disputes are settled by the competent courts of [registered office locality].
